Amending an existing contract

Looking forward to the future of business

Yesterday this post joined a meeting regarding the meeting for signing of an amended contract.

Since Friday last week there was a request for the meeting to review the contract.  This was the result of a month long effort by the parties of the contractor, a CE and project officer, plus the redrafting of the legal consultant.  There was another scheduled meeting last Monday, and then Wednesday, and then finally we had this last Thursday.

My impression upon seeing the draft was the document was a new contract. There was a recitation of articles that are in a new contract (and were recited before in the old contract) However in reality there were 3 things that need to be documented as ageed upon:

1.  That the contractor changed org from enterprise to a corporation;
2.   That there was a request and approved verbally for an x amount of escalation;
3.   That there were additions and subtraction in the scope of work

So I suggersted that:
1.  The title of the agreement was "Amendment to a Cosntruction Contract"
2.   And incorporate at the above 3 in the amendment as a resolution or course of action.

I was apprehensive that these suggestions opinions would be contrary to the legal counsel draft and their discussion  A draft could be made and signed yesterday Friday.  But the new heads opted for a legal counsel review

A new contract that was presented was a novation and that meant you have opened yourself to:
     1.  Doing an operation without contract
     2.  More changes etc

An addendum or amendment would be simpler and in keeping with the spirit of reality

This post met with the contractor and explained the situaiton ie that the amendment (the revision of the docs) is subject to review and verbally told him that essentially we have agreed on 1 to 3.  He was satisfied.

Rather than being idle and being upset by postponed presentation of marketing plans, this post elected to join Luis in Malasiqui trip yesterday   Met with:

1.  Nida Fernandez re Urdaneta Himlayan deal
2.  Met with Jong Valdez supplier of Engr. Fort, son of former Mun Engineer Valdez
3.  Visited HG San Carlos re:  marketing plan and non attendance by Sharifa
4.  Vist by Luis to RHU and Malasiqui Zoning office

Nida  Fernandez Tolentino:

   She came about 20 minutes late vs her appointed time

    1.  Legal issues for Himlayan

         The alleged status of Engr. Meijia as developer despite absence of documents to prove is worrisome.  Meijia effectively is co owner of the project and can pose difficulties for future owner

        Tasks:

       1.  Draft a recession of contract to be sent by Landowner to Mejjia.  Meija
            must sign

       2. Research adt DHSUD -  what docs prove that Meijia is joint venture
           partner co - owner of Calica

      3.  Ask for certified true copy of the owners TCT -  may annotation ba re Meijia

      4.  NFT cant ask her lawyer daughter for help

      5.   Marketing plan for Mejia.  This post was enticed to look into the project
because of the promise of marketing plan ie:    Himlayan ng Bayani.  For some  reason, NFT has not submitted anything.   This post said, the deal may not proceed without her complying with such a bat

     6.  She requests that she be allowed to be outsourcing for interment.  It is suggested that LSJ handle this screen and prequalifty her. 


Supplier

      Son of Engr Valdez, former municipal engineer, now supplier of FFljo.  an RN was an ex patriate at Dubai.  His father was no. objector to the project because of
   alleged health issues

     1.  He promised to help get a copy of Barangay  clearance resolution.  (This may help us save P100,000 for Barangay clearance.  We need the Barangay                           clearance for: Dev Permit, DAR conversion  His father no longer objects or is concerned with health issues of Memorial Park

    2.  His father promised to be a liason (for a fee) for DAR and DHSUD and dev permit

    3.  Like NFT, he wants to outsource:   vault manufacturing, and interment at Holy Gardens Malasiqui

     LSJ:

1,  DOH clearance permit at Malasiqui RHU.   One of the approving staff bought a plot at HG Malasiqui.  He/she promised to help

2.  Luis obtained zoning certification from LGU of Malasiqui.  This saves us expenses for SB resolution

Its National Housing Month, can we participate as contractors?

Its national housing month.  At 11 am today, we are supposed to have a meeting with a senior official of the National Financing Arm for housing who happens to be the relative our partner in construction.

A 4ph housing project in a queen city was suddenly brought before our lap after we met with the executive assistant of a queen city in the north last Wednesday.

Last last last week, we were referring the 4ph program of the said city to a supposed "big time contractor " of land dev company based in Alabang,  Their deal turned sour, and suddenly two projects :   a public market (their public market burned last August) and 4ph were looking for an investor /proponent     Their proponent for the public market passed away.

For their 4ph, the proponent could not push through with land acquisition. They were promised P70 m for the land acquistiion under SHFCI  (Its head F. laxa is an acquaintance)  The 4ph is  signal project of PBBM to address the 6million housing backlog, for which P250B of the Pag ibig program was allocated.


We have several questions for the 4ph:

1.  Are we qualified for the program?
2.  Shall the take outs be from us?
3.  Can the funder provide a credit line of P1.5m x 2,000 beneficiary?
4.  Will the take outs be fast and efficient (it was not before)

Since the senior officer is from our place (he is a deputy CEO) maybe we can get favorble reply
